TERMS & CONDITIONS OF PURCHASE

1:1 Online Coaching (Single Session)

These Terms & Conditions ("Terms") govern your purchase and booking of a 1:1 Online Coaching session (the "Session" or "Coaching") provided by Ashleigh Bailey Consulting (the "Business", "we", "us" or "our"). By purchasing, booking, or attending a Session, you ("you", "your" or the "Client")
agree to be bound by these Terms.

1. THE SERVICE

The Service is a single, live 1.5 hour (90 minute) one-to-one coaching call delivered via Zoom,
tailored to your educational needs and areas of interest relating to social media, content creation and related topics. The Session is delivered by Ashleigh Bailey (or a representative of the Business).
Times are scheduled by mutual arrangement following purchase.

The Coaching is educational and advisory only. It is designed to share strategies, feedback and
guidance. It is not a guarantee of any particular result, income, follower growth, engagement or
business outcome, and it does not constitute legal, financial, accounting or other professional advice.

2. ELIGIBILITY

You must be at least 18 years of age and have the legal capacity to enter into a binding contract. By purchasing, you confirm the information you provide at checkout (including your name, email, business name and contact details) is accurate and complete.

3. PRICING AND PAYMENT

- All prices are listed in Australian Dollars (AUD) and are inclusive of GST where applicable, unless
stated otherwise at checkout.
- The Session is offered as a single payment or via a split-pay option, as selected at checkout. The current price and any payment-plan options are those displayed on the checkout page at the time of purchase.
- Where the split-pay option is selected, you authorise us (and our payment provider) to
automatically charge each scheduled instalment to your nominated payment method on the agreed dates until the full balance is paid. You remain liable for the full price regardless of
attendance.
- Payment is processed securely through our third-party checkout provider (ThriveCart) and
associated payment gateways. We do not store your full card details.
- The full balance must be paid (or the first instalment processed) before a Session is confirmed and scheduled.

4. BOOKING, SCHEDULING AND SESSION EXPIRY

- After purchase, you will be invited to book your Session via the scheduling link or by arrangement. It is your responsibility to book and attend at the agreed time.
- The Session must be booked and completed within six (6) months of purchase. Unredeemed
Sessions expire after this period and are forfeited without refund. (Adjust this window to suit your
policy.)
- The Session is delivered online via Zoom. You are responsible for having a reliable internet
connection, a suitable device, and a quiet environment. If you experience technical issues on your end, the Session time is not extended or re-credited.

5. RESCHEDULING, CANCELLATIONS AND NO-SHOWS

- Rescheduling by you: If you need to reschedule, you must give at least 48 hours' notice before the scheduled start time. One reschedule is permitted at no charge, subject to availability.
- Late notice / no-show: If you cancel or request to reschedule with less than 48 hours' notice,
or you fail to attend ("no-show"), the Session is treated as delivered and is forfeited, and no
refund or re-credit is provided.
- Lateness: If you arrive late, the Session still ends at the scheduled time and is not extended.
- Rescheduling by us: If we need to reschedule due to illness or unforeseen circumstances, we
will offer you the next available time or, where a mutually suitable time cannot be found, a credit
toward a future Session.

6. NO REFUNDS AND NO CANCELLATIONS

All sales are final. Once a Session is purchased, we do not offer refunds, exchanges or
cancellations for change of mind, including (without limitation) where you:

- change your mind after purchasing;
- do not book, attend, or complete the Session;
- fail to attend or give insufficient notice to reschedule (see clause 5);
- let the Session expire unredeemed (see clause 4);
- fail to make split-pay instalments; or
- do not achieve a particular result from the Coaching.

By purchasing, you acknowledge that we reserve your time and prepare for your Session, and
you accept that the booking is non-refundable and non-transferable to another person unless we agree otherwise in writing.

Your rights under the Australian Consumer Law. Nothing in these Terms excludes, restricts
or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. If the Service fails to meet a consumer guarantee — for example, it is not provided with due care and skill, or is not fit for a stated purpose — you may be entitled to a remedy. This "no refund" policy applies only to change-of-mind situations and does not affect those legal rights.

7. CHARGEBACKS AND DISPUTES

If you initiate a chargeback, payment dispute or reversal without first contacting us to resolve the issue, we reserve the right to cancel any outstanding or future Session and to pursue recovery of amounts owing, including reasonable recovery and administration costs. Initiating a chargeback does
not release you from your obligation to pay the full price where the Session has been delivered or reserved as described.

8. YOUR RESPONSIBILITIES

To get the most from the Coaching, you agree to attend on time, come prepared with your questions or areas of focus, and engage in good faith. You are solely responsible for the decisions you make and the actions you take following the Session. The Business is not responsible for outcomes that
depend on your own implementation, effort, market or circumstances.

9. CONFIDENTIALITY

We will keep information you share during the Session confidential and use it only to deliver the Coaching, except where disclosure is required by law. You likewise agree to keep any proprietary strategies, materials or frameworks shared during the Session confidential and for your own use only.

10. INTELLECTUAL PROPERTY

All materials, strategies, frameworks, templates and resources shared during or in connection with the Session are the intellectual property of Ashleigh Bailey Consulting. You are granted a limited, personal, non-transferable licence to use them for your own business only. You must not record, reproduce, resell, distribute or share the Session or its materials, or use them to create a competing
product or service, without our written consent.

11. RECORDINGS

If a Session is recorded, it will only be done with the agreement of both parties. Any recording
provided to you is for your personal use only and is subject to clause 10.

12. NO GUARANTEE OF RESULTS
The Coaching shares strategies and feedback that have worked for the Business and others, but
your results depend on factors outside our control, including your own effort, consistency, niche, market and audience. We make no representation, warranty or guarantee regarding income, sales, bookings, follower growth or engagement. Any examples or figures discussed are illustrative and are not a promise of your results.

13. CONDUCT

You agree to engage respectfully and lawfully. We reserve the right to end a Session and decline
further service, without refund, in the case of abusive, threatening, unlawful or disruptive behaviour.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, and subject to clause 6 (your non-excludable rights under
the Australian Consumer Law), the Business is not liable for any indirect, incidental, special or
consequential loss, or for any loss of profits, revenue, data, goodwill or business opportunity, arising
out of or in connection with the Coaching or these Terms. Where our liability cannot be excluded but can be limited, our total liability is limited, at our option, to resupplying the Service or paying the cost of having it resupplied.

15. PRIVACY

We collect and handle your personal information in accordance with our Privacy Policy and applicable privacy laws. By purchasing, you consent to us using your details to deliver the Coaching, process payment, schedule your Session and send service communications. Please refer to our Privacy Policy for full details.

16. CHANGES TO THESE TERMS

We may update these Terms from time to time. The version in effect at the time of your purchase
governs that purchase.

17. GOVERNING LAW

These Terms are governed by the laws of the State of Queensland and the Commonwealth of
Australia. You submit to the non-exclusive jurisdiction of the courts of that State. (Update the State if your business operates elsewhere.)
