TERMS & CONDITIONS OF PURCHASE

1:1 Online Coaching — Mini Mentorship

These Terms & Conditions ("Terms") govern your purchase of and participation in the 1:1 Online Coaching Mini Mentorship (the "Mentorship" or "Program") provided by Ashleigh Bailey Consulting (the "Business", "we", "us" or "our"). By purchasing, booking, or accessing any part of the Mentorship, you ("you", "your" or the "Client") agree to be bound by these Terms.

1. WHAT'S INCLUDED

The Mentorship is a combined one-to-one coaching and self-paced education program, tailored to your business. It includes:

- Three (3) live 1:1 coaching sessions with Ashleigh Bailey, delivered online via Zoom and
tailored to your business needs and areas of interest; and
- Access to all of the Business's online courses (the self-paced digital course library), including
the associated videos, templates and digital resources.

The Mentorship is educational and advisory only. It is designed to share strategies, feedback, tools and guidance. It is not a guarantee of any particular result, income, follower growth, engagement or business outcome, and it does not constitute legal, financial, accounting or other professional advice.

2. ELIGIBILITY

You must be at least 18 years of age and have the legal capacity to enter into a binding contract. By purchasing, you confirm the information you provide at checkout (including your name, email, business name and contact details) is accurate and complete.

3. PRICING AND PAYMENT

- All prices are listed in Australian Dollars (AUD) and are inclusive of GST where applicable, unless
stated otherwise at checkout.

- The Mentorship is offered with the following payment options, as selected at checkout:
i. a one-time payment;
ii. a weekly subscription charged in instalments; or
iii. a split payment.

The current price and the available payment options are those displayed on the checkout page at the time of purchase.

- Where a weekly subscription or split-payment option is selected, you authorise us (and our
payment provider) to automatically charge each scheduled instalment to your nominated payment method on the agreed dates until the full balance is paid. You remain liable for the full price regardless of attendance, usage or completion.
- Payment is processed securely through our third-party checkout provider (ThriveCart) and
associated payment gateways. We do not store your full card details.
- Failed or missed instalments: if a scheduled payment fails, we may suspend your access to the
courses and pause your remaining coaching sessions until the outstanding amount is paid. You remain liable for the full balance. Persistent non-payment may result in termination of access without releasing you from the obligation to pay.

4. COACHING SESSIONS — BOOKING, SCHEDULING AND PROGRAM DURATION

- After purchase, you will be invited to book your three (3) coaching sessions via the scheduling link or by arrangement. It is your responsibility to book and attend at the agreed times.
- The three sessions must be booked and completed within three (3) months of purchase (the
"Program Period"), unless we agree otherwise in writing. Sessions not used within the Program Period expire and are forfeited without refund. (Adjust this window to suit your policy.)
- Each session is delivered online via Zoom. You are responsible for a reliable internet connection,
a suitable device, and a quiet environment. Technical issues on your end do not entitle you to an
extension or re-credit of session time.

5. RESCHEDULING, CANCELLATIONS AND NO-SHOWS

- Rescheduling by you: you must give at least 48 hours' notice before a scheduled session start
time. One reschedule per session is permitted at no charge, subject to availability.
- Late notice / no-show: if you cancel or request to reschedule with less than 48 hours' notice,
or you fail to attend, that session is treated as delivered and is forfeited, with no refund or re-
credit.
- Lateness: if you arrive late, the session still ends at the scheduled time and is not extended.
- Rescheduling by us: if we need to reschedule due to illness or unforeseen circumstances, we
will offer the next available time or a credit toward a future session.

6. COURSE ACCESS, LICENSE AND NO LOGIN SHARING

Access to the online courses is delivered electronically and licensed per individual. On purchase (or on your first instalment), you will receive login details to the course platform. Where "lifetime access"
is offered for the courses, it means access for as long as the Business continues to operate and host the courses online.

All content — videos, text, templates, captions, scripts, planners, graphics, frameworks and branding — is the intellectual property of Ashleigh Bailey Consulting. You are granted a limited, personal, non-exclusive, non-transferable licence for your own individual use only. Your login is personal and secure and must not be shared with team members or any other person. Account access is monitored. Sharing a login is a breach of these Terms and may result in immediate termination of
access without refund, and we reserve the right to pursue legal action and recover damages and

You must not copy, reproduce, resell, distribute, sublicense, publish, record for distribution or share the Program or any of its content, or use it to create a competing course, program or product.

7. NO REFUNDS AND NO CANCELLATIONS

All sales are final. Given the high-touch, personalised nature of the Mentorship and the immediate access to valuable intellectual property, we do not offer refunds, exchanges or cancellations for change of mind, including (without limitation) where you:

- change your mind after purchasing;
- do not book, attend or complete your coaching sessions;
- do not access or use the online courses;
- fail to attend or give insufficient notice to reschedule (clause 5);
- let sessions expire unredeemed (clause 4);
- stop paying instalments; or
- do not achieve a particular result.

By purchasing, you acknowledge that we reserve your time, prepare for your sessions, and
grant immediate access to digital content, and you accept that the purchase is non-refundable
and your place is non-transferable to another person unless we agree otherwise in writing. Selecting a payment plan does not change the total amount owed; the full price remains
payable.

Your rights under the Australian Consumer Law. Nothing in these Terms excludes, restricts
or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. If the Mentorship fails to meet a consumer guarantee — for example, it is not provided with due care and skill, is not fit for a stated purpose, or is significantly different from what was described — you may be entitled to a remedy such as a
refund, repair, replacement or resupply. This "no refund" policy applies only to change-of-mind
situations and does not affect those legal rights.

8. CHARGEBACKS AND DISPUTES

If you initiate a chargeback, payment dispute or reversal without first contacting us to resolve the issue, we reserve the right to immediately and permanently revoke your access to the Program and to pursue recovery of any amounts owing, including reasonable recovery and administration costs.
Initiating a chargeback does not release you from your obligation to pay the full price where the
Program has been delivered or reserved as described.

9. YOUR RESPONSIBILITIES

To get the most from the Mentorship, you agree to attend sessions on time, come prepared,
complete agreed actions, and engage in good faith. You are solely responsible for the decisions you make and the actions you take. The Business is not responsible for outcomes that depend on your own implementation, effort, market or circumstances.

10. CONFIDENTIALITY

We will keep information you share during the Mentorship confidential and use it only to deliver the Program, except where disclosure is required by law. You likewise agree to keep any proprietary strategies, materials or frameworks shared with you confidential and for your own use only.

11. RECORDINGS

If a coaching session is recorded, it will only be done with the agreement of both parties. Any
recording provided to you is for your personal use only and is subject to clause 6.

12. NO GUARANTEE OF RESULTS

The Mentorship shares strategies, tools and feedback that have worked for the Business and others, but your results depend on factors outside our control, including your own effort, consistency, niche, market and audience. We make no representation, warranty or guarantee regarding income, sales, bookings, follower growth or engagement. Any examples, testimonials or figures are illustrative and are not a promise of your results.

13. CONDUCT

You agree to engage respectfully and lawfully across all sessions, course platforms and
communication channels. We reserve the right to end a session, suspend access, or terminate the
Mentorship, without refund, in the case of abusive, threatening, unlawful or disruptive behaviour.

14. THIRD-PARTY PLATFORMS

The Program relies on third-party platforms (such as Zoom, the course host, and social media
platforms including Instagram and Facebook). We do not control these platforms and are not
responsible for changes to, or the availability of, any third-party service.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, and subject to clause 7 (your non-excludable rights under
the Australian Consumer Law), the Business is not liable for any indirect, incidental, special or
consequential loss, or for any loss of profits, revenue, data, goodwill or business opportunity, arising
out of or in connection with the Mentorship or these Terms. Where our liability cannot be excluded but can be limited, our total liability is limited, at our option, to resupplying the relevant part of the Program or paying the cost of having it resupplied.

16. PRIVACY

We collect and handle your personal information in accordance with our Privacy Policy and applicable privacy laws. By purchasing, you consent to us using your details to deliver the Mentorship, process payments, schedule sessions, provide course access and send service communications. Please refer to our Privacy Policy for full details.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time. The version in effect at the time of your purchase
governs that purchase.

18. GOVERNING LAW

These Terms are governed by the laws of the State of Queensland and the Commonwealth of
Australia. You submit to the non-exclusive jurisdiction of the courts of that State. (Update the State if your business operates elsewhere.)
